By accessing and using Supaclear ("Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Platform.

2. Platform Description

Our Platform facilitates connections between potential buyers ("Buyers") and existing users ("Peer Guides") of B2B software products for the purpose of sharing feedback, insights, and guidance regarding software purchases, migrations, in-house development, and contract renewals.

Throughout these Terms, "Users" refers to both Buyers and Peer Guides who access and use the Platform. Specific terms applicable only to Buyers or only to Peer Guides will be explicitly identified as such.

3. User Registration and Account Security

3.1 Account Creation

• You must provide accurate, current, and complete information during registration
• You must be at least 18 years old and have the authority to enter into these Terms
• You must maintain and update your account information to keep it accurate

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You may not share your account credentials with any third party

4. User Conduct

4.1 Acceptable Use

Users agree to:

• Provide truthful and accurate information
• Maintain professional conduct in all interactions
• Respect intellectual property rights
• Comply with all applicable laws and regulations

4.2 Prohibited Activities

Users may not:

• Share confidential information without proper authorization
• Misrepresent their experiences or qualifications
• Engage in any form of harassment or discriminatory behavior
• Use the Platform for unauthorized commercial solicitation
• Attempt to circumvent any Platform security measures
• Create multiple accounts for deceptive purposes

5. Content and Interactions

5.1 User-Generated Content

• Users retain ownership of their content but grant us a license to use it on the Platform
• Users are responsible for ensuring they have the right to share any content
• We reserve the right to remove any content that violates these Terms

5.2 Feedback and Advice

• All feedback and advice provided through the Platform is for informational purposes only
• Users acknowledge that opinions and experiences shared are subjective
• We do not guarantee the accuracy or completeness of any advice provided

6. Privacy and Confidentiality

6.1 Data Protection

• We process personal data as described in our Privacy Policy
• Users must respect the confidentiality of information shared during consultations

6.2 Non-Disclosure and Existing Agreements

• Users agree not to disclose confidential information obtained through the Platform
• Users must obtain explicit permission before sharing vendor-specific information
• Users acknowledge and agree to honor all existing non-disclosure agreements (NDAs) they are bound by through their employment or other relationships
• Users are solely responsible for ensuring their Platform activities comply with their existing NDAs and confidentiality obligations
• We are not liable for any breaches of NDAs or confidentiality agreements by Platform users
• Users agree to indemnify the Platform against any claims arising from their breach of existing NDAs or confidentiality obligations

7. Intellectual Property

7.1 Platform Content

• All Platform content, features, and functionality are owned by us and protected by law
• Users may not copy, modify, or distribute Platform content without permission

7.2 Trademarks

• All trademarks, service marks, and trade names are our property or that of their respective owners
• Users may not use these marks without prior written permission

8. Payments and Fees

8.1 Rewards for Peer Guides

• Peer Guides receive rewards in the form of gift cards from the Platform or its partners
• Reward rates are defined by Peer Guides during platform registration
• The Platform reserves the right to modify the rewards structure with notice
• All applicable taxes on rewards are the responsibility of Peer Guides
• Peer Guides are responsible for ensuring compliance with their employer's policies regarding accepting rewards or incentives from third parties
• The Platform is not liable for any conflicts or breaches of employment agreements arising from Peer Guides' acceptance of rewards

8.2 Payment Processing

• Users agree to provide accurate billing information
• We use secure third-party payment processors
• Users are responsible for all applicable taxes

9. Liability and Disclaimers

9.1 Limited Liability

• We are not liable for any decisions made based on Platform advice
• Users acknowledge that software selection and implementation carry inherent risks
• Our liability is limited to the maximum extent permitted by law

9.2 Disclaimers

• The Platform is provided "as is" without warranties of any kind
• We do not endorse any specific software products or vendors
• We do not guarantee the availability of Peer Guides or specific expertise

10. Term and Termination

10.1 Duration

• These Terms remain in effect while you use the Platform
• We reserve the right to terminate accounts for violations of these Terms

10.2 Effect of Termination

• Upon termination, you must cease all Platform use
• Certain provisions survive termination (e.g., confidentiality obligations)

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Continued use of the Platform constitutes acceptance of modified Terms.

12. Governing Law and Jurisdiction

These Terms are governed by US law. Any disputes shall be resolved in the courts of the United States.
